Terms and Conditions
1. INCORPORATION AND DESCRIPTION
In these Conditions we, us or STARLAB UK means STARLAB (UK), LTD a company incorporated in England and Wales under company number 03514931 and whose registered office is situated at care of c/o Forvis Mazars, The Pinnacle, 160 Midsummer Boulevard, Milton Keynes, Buckinghamshire MK9 1FF.
When it comes to doing business with you, the buyer, these conditions apply. Any changes to these conditions need to be agreed upon in writing by us.
We may provide goods based on the current specifications and designs at the time of dispatch.
The illustrations, prices, and specifications on our website and in our literature are as accurate as possible, but there may be occasional changes and improvements. So, the goods we supply may differ slightly from what you see, as long as they meet the same quality standards.
We perform quality control checks on batches of goods to ensure they meet our quality standards.
2. WEBSITE
When you access our STARLAB UK website, you're agreeing to our privacy policy. We may monitor, track, and record your usage of the website.
The information provided on our website is for informational purposes only. It's believed to be reliable, but it can change without prior notice. Products and services described on the website may vary over time.
To place orders through our website, you need to register with us. We have the sole discretion to accept or reject your registration application.
3. PRICING AND PAYMENT
- The quotations we provide are subject to confirmation upon receiving your order. We reserve the right to correct any errors or omissions in the quotations or invoices. A contract between us is formed only when we confirm acceptance of your order in writing.
- If you place an order through our website, a contract is formed when we notify you that we've received and accepted your order.
- Prices are based on manufacturers' prices, exchange rates, freight charges, and insurance charges at the time of the offer. While we take care to ensure correct pricing, occasional printing errors may occur, and we cannot be held responsible for them.
- If we discover an error in the price of a product you've ordered, we'll contact you to inform you of the error. You'll have the option to continue purchasing the product at the correct price or cancel your order. We won't process your order until we receive your instructions. If we can't reach you using the provided contact details within thirty days, we'll consider the order cancelled and inform you in writing. If we mistakenly accept and process your order despite an obvious pricing error, we may cancel the supply and refund any payments you've made.
- Quoted prices, other than on the website, will remain valid for thirty days from the quotation date unless stated otherwise.
- All prices are quoted in Pounds Sterling and exclude Value Added Tax (VAT), which will be added at the applicable rate when invoiced, unless you provide us with a VAT exemption certificate before or at the time of placing the order.
- Prices exclude import duties, freight, and handling fees, which are subject to change by STARLAB UK without notice.
- When using the website, list prices in your local currency will be available based on the selected country during your registration. The total price in the local currency will be updated at the end of the ordering process.
- STARLAB UK reserves the right to change prices at short notice in case of "Force Majeure" events (see paragraph 14 below).
4. MINIMUM ORDER VALUE AND HANDLING FEE
- For orders placed through the website, there's a minimum order value of 100 GBP to receive free delivery. If your order is below 100 GBP, there will be a delivery charge of 18.50 GBP for UK mainland, unless we've agreed otherwise in writing. If you're outside the UK mainland, feel free to ask us about the delivery charges.
- If you place orders directly with STARLAB UK, there's a handling/delivery fee of 18.50 GBP per order for deliveries to the UK mainland (for delivery charges outside the UK mainland, please ask us), unless we've agreed otherwise in writing.
5. TERMS OF PAYMENT
- We'll send invoices for all orders in GBP, including 20% VAT, unless you provide a VAT exemption certificate as mentioned in paragraph 3 (f) above.
- Payment for invoices is due within 30 days from the invoice date unless we have given you a special agreement in writing. If you enter an EAN number instead of a CVR/VAT registration number in the invoicing details on the website, we'll send the invoice electronically.
- We don't accept credit card payments online, but if you contact customer services they will be able to take payment and process your order.
- Invoices must be paid in full, and no deductions can be made unless we have issued a credit note. You can't withhold or delay payments beyond the due date due to any unsettled claims or disputes between you and STARLAB UK, our employees, distributors, insurers, or underwriters.
6. DELIVERY AND TRANSPORTATION
- If you want delivery outside the UK, please contact us at orders@STARLAB.co.uk. Our website only offers delivery within mainland UK.
- When you order from the website, our distribution center will handle the transportation based on the weight and size of the items.
- Generally, if you place your order before 3pm and the products are in stock, we'll try our best to deliver your order on the next working day. You'll receive all the details in your order acknowledgement.
- Please note that delivery dates are estimates, and we cannot guarantee a specific delivery date. STARLAB UK is not responsible for any losses caused by delayed delivery.
- Availability of items at the time of order receipt determines ex-stock deliveries. We'll keep you updated throughout the process.
7. RISK AND PASSAGE OF PROPERTY
You own the products purchased once you've paid the full price. Cheques need to clear before they count as payment.
The risk of the goods passes to you upon delivery.
8. CLAIMS AND RETURNS
- Report any shortage or damaged products within 3 days of receiving your order. Accept the shipment and inform STARLAB UK immediately. Use your order confirmation number when contacting us. Claims made after 3 days won't be accepted.
- If a claim remains unresolved for 60 days without any response or action from you, it will be closed, and STARLAB UK won't be liable anymore.
- Don't return items without prior approval from STARLAB UK. If you want to return a newly purchased product, notify us within 14 days of the invoice date. The return will only be accepted if the product is in its original, unbroken packaging. Non-faulty product returns are at STARLAB UK's discretion.
- You're responsible for the cost and risk of returning items. STARLAB UK won't be liable for transportation costs. Returns incur a £17.50 collection fee and a 10% restocking fee.
- To cancel or make changes to an order, email customerservice@STARLAB.co.uk with your order notification number and details of the desired changes. A STARLAB UK customer support representative will inform you about the order's status and whether changes can be made. All changes are at STARLAB UK's discretion.
9. WARRANTY
- The warranty period for most products is six months from the invoice date, unless specified otherwise. We will repair these products free of charge during this period. If you're outside the UK, you'll need to send the product back to STARLAB UK for free repairs. In some cases, we may ask you to send the product to our Service Laboratory in Milton Keynes. We'll cover the cost of spare parts and labor if they're defective. Please note that this warranty doesn't cover damage caused by misuse or factors other than defective manufacture or materials. Unauthorized repairs without our written consent void the warranty.
- The warranty periods for STARLAB UK brand products are as follows:
- Manual pipettes: 36 months
Replacement parts: 12 months - Refurbished products have a one-year warranty unless stated otherwise in writing by STARLAB UK.
- Please refer to the warranty/service information on our website's homepage and any warranty papers provided with your product.
- When sending products for repair or service, please understand that we cannot be held liable for any damage that may occur. Make sure to send the product with prepaid shipping and clearly label it with your name and address. Additionally, include a letter specifying the required work. To initiate an official repair or service, please contact STARLAB UK to place an order.
10. DEMONSTRATION PRODUCTS
Unfortunately, sample packs or demonstration products cannot be purchased directly from the website. If you're interested in requesting them, please send an email to your Account Manager.
11. INSTALLATION
The prices listed for products at STARLAB UK generally don't include installation, demonstration, or training unless mentioned otherwise. However, you can request these services separately. If you've already discussed installation, demonstration, or training with STARLAB UK, please make a note of it when placing your order for the products.
12. LIABILITY
- STARLAB UK only supplies the products to businesses.
- Nothing in these conditions limits or excludes STARLAB UK’s liability for:death or personal injury caused by our negligence;
fraud or fraudulent misrepresentation; - breach of the terms implied by section 12 of the Sale of Goods Act 1979 (title and quiet possession); or
defective products under the Consumer Protection Act 1987. - Subject to paragraph 12 (b), STARLAB UK will under no circumstances whatever be liable to you, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, arising under or in connection with the supply of the products for:any loss of profits, sales, business, or revenue;
loss or corruption of data, information or software;
loss of business opportunity;
loss of anticipated savings;
loss of goodwill; or
any indirect or consequential loss.
Subject to paragraph 12 (b), STARLAB UK’s total liability to you in respect of all losses arising under or in connection with the supply of the products, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall in no circumstances exceed the price of the products.
Except as expressly stated in these conditions, STARLAB UK does not give any representation, warranties or undertakings in relation to the products. Any representation, condition or warranty which might be implied or incorporated into these conditions by statute, common law or otherwise is excluded to the fullest extent permitted by law. In particular, we will not be responsible for ensuring that the products are suitable for your purposes.
13. ARBITRATION
If any disagreement or issue arises related to these conditions, it will be resolved by appointing a single arbitrator, following the guidelines of the Arbitration Act 1996 or any applicable laws in effect at that time.
14. FORCE MAJEURE
If there are delays in delivering your order due to circumstances like natural disasters, strikes, accidents, or any other events beyond STARLAB UK's control (including issues with raw material availability or price increases), we'll do our best to provide a reasonable extension of time.
15. NOTICES
If you need to send any notices to STARLAB UK, make sure it's in writing. You can either deliver it by hand or send it through first class recorded delivery or registered post. Address it to STARLAB UK at the following address: STARLAB (UK), LIMITED. Unit 5, Tanners Drive, Blakelands, Milton Keynes, Bucks, MK14 5BU.
If you choose to deliver the notice by hand, it will be considered received on the date of delivery. If you opt for first class recorded delivery or registered post, it will be deemed received when the postal authorities confirm its receipt.
16. LEGAL CONSTRUCTION
The agreement between STARLAB UK and you, the Buyer, for the supply of products will be governed by English Law.
17. GENERAL
- STARLAB UK can transfer our rights and responsibilities to another organization, but it won't affect your rights or our obligations under these conditions.
- You can only transfer your rights or obligations under these conditions to someone else if STARLAB UK agrees in writing.
- The contract is between you and STARLAB UK. No other person has the right to enforce its terms, whether under the Contracts (Rights of Third Parties) Act 1999 or otherwise.
- Each paragraph of these conditions is separate. If any court or authority finds any of them unlawful or unenforceable, the remaining paragraphs will still be valid.
- If we don't insist that you fulfill your obligations or if we don't enforce our rights against you, it doesn't mean we've given up our rights or that you don't have to comply. If we do waive a default by you, we'll only do so in writing and it won't automatically mean we waive any future defaults.
- You and we both agree that, except as stated in paragraph 13, any dispute or claim related to the contract or its subject matter will be settled exclusively in the courts of England and Wales.
18. SALE or RETURN T&Cs
- It is assumed that for all orders received stating "Sale or Return" that these Terms & Conditions have been read, understood and agreed to.
- Sale or return is available on selected products only, as marked.
- Your Purchase Order MUST state "Sale or Return" on the PO, or in the Special Requests/Notes section if ordering on the Starlab eShop or eProcurement sites.
- You get to try before you buy. Just remember to keep all the original packaging somewhere safe, until you are sure you want to keep the item!
- If you wish to keep the item, you do not need to do anything. The invoice corresponding to the delivery will be due for payments 30 days following receipt of delivery.
- If you do not wish to keep the item, it must be returned within 30 days, before the invoice due date.
- IMPORTANT! All returned items must be returned a) in an "as new" and resalable condition, b) in the complete original packaging and c) complete as received, ie, include all power leads, manuals, parts etc.
- Any items returned that are a) damaged, marked or defaced b) not in the full, original packaging c) are returned incomplete (ie, does not included ALL the original items received) will be returned to the customer, deemed as sold.
- How to return a Sale or Return item:
i) Email your returns request to queries@starlab.co.uk with "Sale or Return" in the subject header, quoting your original PO Number.
ii) The returns request will be authorized, and a Device Decontamination Declaration will be returned via email, with the authorization number
iii) The Decontamination Declaration must be completed in full, and placed inside the box. Please ensure your authorization number is noted on the Decontamination Declaration.
iv) Package securely, as received, to prevent any damage in transit.
v) Arrange delivery back to Starlab within 5 working days to:
Sale or Return, Starlab, 5 Tanners Drive, Milton Keynes, MK14 5BU.
To ensure safe return, we advise using a service with a tracking method ie, courier/special delivery. We will be unable to issue any credit without a valid proof of delivery.
vi) A credit will be raised against the corresponding invoice. We will only provide credit for items returned in a resalable and undamaged condition, as listed in the Sale or Return T&Cs.
